This website is owned and operated by Northwood University (“we” or “us). These Terms apply to our website and any related sites (collectively, the “Site”). You should carefully read these Terms of Service. Your access to and use of this Site are governed by these Terms, which are a legally binding contract between you and us. In addition, when using a particular service or accessing certain materials on or through this Site, you are subject to any posted terms, conditions, agreements, disclosures, and rules, which are incorporated into these Terms and govern any conflict or inconsistency with these Terms.

BY USING THIS SITE, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR WEBSITE PRIVACY POLICY. IF YOU DO NOT AGREE WITH ANY OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THIS SITE.

Accreditation

Northwood University is accredited by the Higher Learning Commission, an institutional accreditation agency recognized by the U.S. Department of Education.

Authorized Use and Eligibility

We provide this Site to support our mission and to be of service to students, parents, faculty, staff, alumni, friends, supporters, and the public. Use of this Site for any purposes other than that for which it is intended is unauthorized and prohibited. All Site content is subject to applicable statutes and regulations. This Site is published in the United States. Accordingly, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable. We may, in our sole discretion, refuse to offer this Site or our products and services to any person or entity and change our eligibility criteria at any time. This provision is void where prohibited by law and the right to access the Site is revoked in such jurisdictions. The Site is intended for users who are at least 13 years old.

Conflicting Terms

If any information on the Site conflicts with other terms or agreements that govern our services, such terms and agreements control.

User Representations and Prohibited Activities

By using the Site, you represent and warrant that: (1) all information you submit is true, accurate, current, and complete and you will promptly update any inaccurate information as necessary; (2) you have the legal capacity and you agree to comply with these Terms; and (3) you will not use the Site for any illegal or unauthorized purpose and your use of the Site will not violate any applicable law or regulation. You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. You shall not use this Site for any purpose that is unlawful or prohibited by these Terms.

Online Orders and Donations

You may use the Site to order merchandise or make donations. Your chosen form of payment will be charged immediately upon completion of your purchase. The prices and availability of merchandise on our Site are listed in US dollars and are subject to change without notice. If we discover an error in either pricing or availability, we will seek to correct it. We reserve the right to revoke any offer and to correct any errors, inaccuracies or omissions (including after an order has been submitted and accepted). Pricing for our merchandise is listed without applicable tax, which may be calculated at the time of order. Payments for orders and donations made through our Site are processed by our third-party service providers and are subject to their terms.  For more information or to talk with a representative about our programs and ways to give, please contact us as detailed at the end of these Terms.

Text Messaging and Automated Phone Calls

Some of our services may allow you to receive text message notifications and/or automated phone calls from us (each, a “Message”). To the extent you opt in to receiving our Messages, the following terms apply: 

Consent and Revoking Consent.  Your consent is voluntary, and not a condition to admissions or receiving our services. By providing us with your phone number, you confirm that you want us to send you information that we think may be of interest to you to such phone number, which may include using automated dialing technology, automated text messages, and AI-assisted phone calls to send Messages to the number you provided.  You can opt out of receiving any further Messages from us by replying “STOP” to any Message or informing the caller during a phone call.   

Messages.  We will send you Messages related to admissions, program updates, and other relevant information.  We will not be liable for any delays in the receipt of any Messages, as delivery is subject to effective transmission from your network operator. Message services are provided on an “AS IS” basis. If your carrier does not permit text alerts, you may not receive the Messages from us. 

Charges.  Standard message and data rates may apply as determined by your mobile carrier. We do not charge any fees for Messages. Under no circumstances will we be responsible for any text messaging or wireless charges incurred by you or by a person that has access to your wireless device or telephone number.  

Personal Information.  Personal Information obtained from you in connection with any Message may include your phone number, your provider’s name, and the date, time and content of your communication. We may use this information to contact you and to provide the services you request from us in accordance with our Privacy Policy.

Use of Artificial Intelligence

We use third-party service providers to offer AI-powered chatbot and search tools on our website to assist with general inquiries and navigation. Your interactions with these tools may be recorded, including message content and usage patterns, and the data may be used to help improve response accuracy, personalize your experience, and enhance system performance. While we strive to protect your privacy, we recommend avoiding the submission of personally identifiable information unless necessary. AI technologies used in these services aim to provide timely and helpful responses. However, they may occasionally produce inaccurate or incomplete information. You should verify critical details independently and use discretion when relying on AI-generated content.

Consent to Collection and Use of Usage Data

You agree that we may collect, use and share certain information about you and your use of the Site, including but not limited to technical information about our services, your device, system and application software, and peripherals—that is gathered periodically to facilitate the provision of software updates, support, and other services to you (if any) related to the Site (collectively, “Usage Data”). We use Usage Data to improve the Site and our services, facilitate the provision of Site updates, and provide support. Usage Data is automatically transmitted to us by the Site. You acknowledge and agree that we retain sole and exclusive ownership of all right, title and interest in and to the Usage Data, and you shall have no rights to retain or use any of the Usage Data. We may use Usage Data without limitation, but we will ensure that such Usage Data is anonymized and/or aggregated in such a manner that it no longer identifies you before sharing Usage Data with third parties.

Privacy

Your use of our Site is subject to our Website Privacy Policy. Please read it so that you understand the parameters of privacy when using our Site. We reserve the right to monitor some, all, or none of the areas of this Site for adherence to these Terms. You acknowledge that by providing you with the ability to post information on this Site, we are acting as a passive conduit for distribution, and we are not undertaking any obligation or liability relating to any postings or activities on this Site.

User Registration

You may browse the Site and view certain materials without registering, but as a condition to using certain aspects of the Site, you must create a username and password to set up an account (“Account”). Your access to and use of such Account is governed by these Terms and any additional terms and disclosures posted in your Account or otherwise made available to you. You agree to keep your password confidential and will be responsible for all use of your Account and password.

User Content

In connection with your participation in our services or use of the Site, you may be asked to submit or contribute content and materials such as testimonials, feedback, ideas and suggestions, or other information or content (“Content”). You are solely responsible for any Content that you contribute, and you have full responsibility for such Content. All Content is considered non-confidential and non-proprietary. We will not have any ownership rights in any elements of your Content; however, by contributing Content, you grant Northwood University a non-exclusive, royalty-free, irrevocable, worldwide, perpetual right and license to use, reproduce, modify, adapt, translate, publish, display, perform, distribute and otherwise exploit or use in our discretion such Content in any manner or media now or later developed, including the right to change, create derivative works, sublicense, assign, and commercialize, subject to our Privacy Policy. THIS MEANS THAT WE MAY USE YOUR CONTENT AS WE SEE FIT, AND THAT WE DO NOT OWE YOU ANYTHING IN CONNECTION WITH OUR USE OF YOUR CONTENT. We will be the owner of, and free to use for any purpose, any ideas, concepts, know-how, or materials developed by or on our behalf resulting from your Content, including, without limitation, any modifications or enhancements to the Site or our programs. You waive all rights in and to your Content in favor of us, our successors, assigns, and licensees.

Intellectual Property Rights

Through the Site, we may make available to you: (a) certain audio and visual text, information, images, video, and other materials contained or displayed in or made available through the Site (collectively, the “Materials”); and (b) various services and functionality (collectively, the “Services”). We and our licensors grant to you a personal, non-exclusive, non-transferable license to use the Services and access, view, download, print, use and display Materials solely for your own informational use. In these Terms, all references to the “Site” shall be deemed to include all Materials and Services unless otherwise expressly indicated. All rights not expressly granted by us are retained by us, and you may not use the Site or any element of the Site in any manner or for any purpose not expressly authorized by these Terms. The rights granted to you do not include, and are not applicable to, the design or layout of the Site, which are protected by trade dress and other laws and may not be copied or imitated in whole or in part. The Site design, text and graphics, and the selection and arrangement of such elements are copyrighted and are protected by worldwide copyright laws and treaty provisions. Unless otherwise indicated, all product and service marks and logos displayed on the Site, including the Northwood University logo, are subject to trademark rights of us and our licensors. You shall not: (1) remove or destroy any proprietary rights marks or legends on or in the Site; (2) modify, enhance, adapt, translate, or create derivative works of the Site; (3) republish, post, transmit, transfer, distribute, assign, sublicense, rent, lease or sell the Site; (4) decompile, disassemble or reverse engineer the Site; (5) reproduce or make copies of the Site; (6) “frame” or “mirror” the Site on any other server or Internet-based device; (7) access, view, download, print, use and/or display the Site for any commercial or other money-making purpose; (8) use any data mining, robots, or similar data gathering and extraction tools; or (9) use any meta tags or any other “hidden text” utilizing our name or trademarks without our express written consent. You acknowledge that certain elements of the Site are, or may in the future be, licensed to us by third parties and that the availability of such elements may cease automatically, without notice or liability on our part.  

We and our licensors own and shall retain all rights, title and interests, including all intellectual property rights, in and to the Site, and all elements thereof. Except for the express licenses granted to you herein, you neither have nor acquire any rights, title or interests in or to the Site, or any element thereof. Any use of the Northwood University trademark, logo, and related marks requires a separate license agreement between you and Northwood University. Third-Party Sites and Materials

From time to time, we may place links to other websites on this Site. We have no control over any other website and are not responsible for the content on any site other than this one. Northwood University’s inclusion of links to an outside site does not imply any endorsement of the material on the site or, unless expressly disclosed otherwise, any sponsorship, affiliation or association with its owner, operator or sponsor. If you decide to leave the Site and access the third-party website or to use or install any third-party content, you do so at your own risk, and you should be aware these Terms no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from the Site. Users assume all responsibility when they go to other sites via the links on this page.

Site Management, Interruptions, and Termination

We reserve the right, but not the obligation, in our sole discretion and without limitation, notice, or liability, to: (1) monitor the Site for violations of these Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms, including reporting such user to law enforcement authorities; (3) remove from the Site all files and content that are excessive in size or are in any way burdensome to our systems; and (4) otherwise manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site. We cannot guarantee the Site will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Site, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Site at any time or for any reason without notice to you. We reserve the right, in our sole discretion and without notice, to deny access to and use of the Site (including blocking certain IP addresses), to any person for any reason or for no reason, including, without limitation, for breach of these Terms or violation of any applicable law or regulation. We may terminate your use of or participation in the Site or delete your Account and any content or information that it contains at any time, without warning, in our sole discretion. Nothing in these Terms shall be construed as obligating us to maintain or support the Site or to supply any corrections or updates.

Disclaimer of Warranties

THIS SITE, INCLUDING ALL MATERIALS, SERVICES, SOFTWARE, INFORMATION AND OTHER CONTENT AVAILABLE ON AND/OR THROUGH THIS SITE, IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR CONTINUED AVAILABILITY. IN ADDITION, NO WARRANTIES SHALL ARISE FROM ANY COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OF TRADE. Limitations of Liability

Nothing in Terms is meant to exclude, restrict or modify any of our liability under any law under any jurisdiction in which the Site is accessed, which law prohibits, restricts or modifies any portion of the limitation of liability or disclaimer of warranties set forth herein.

Indemnification

You agree to defend, indemnify, and hold harmless the Northwood University and all of its officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your use of the Site or our product and service offerings; (2) your breach of these Terms; (3) your violation of the rights of a third party, including but not limited to intellectual property rights; or (4) any overt harmful act toward any other user of the Site. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

Governing Law and Dispute Resolution

These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Michigan applicable to agreements made and to be entirely performed within the State of Michigan, without regard to its conflict of law principles. If you decide to take legal action related to these Terms or the contents of this Site, you agree to file such action only in State and Federal courts nearest to Midland County, Michigan, and you consent and submit to the personal jurisdiction of those courts for the purposes of litigating any such action and further agree that they are a convenient forum for you.

Amendments

We reserve the right to change our service offerings, the terms and conditions of these Terms, and any other terms, conditions and rules relating to the Site and our services at any time in our sole discretion. We will notify you of such changes by posting the changes on the Site or otherwise communicating such changes to you. You are responsible for regularly reviewing the Site and these Terms regarding such changes. Continued use of the Site after any such changes have been posted shall constitute your agreement to them.

Miscellaneous

These Terms and any policies or rules posted by us on the Site or in respect to the Site constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. These Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms or use of the Site. You agree that these Terms will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Terms and the lack of signing by the parties hereto to execute these Terms.
